Terms and Conditions for GalliGooo (Draft not Final) Last Updated: November 14, 2025 Welcome to GalliGooo! These Terms and Conditions ("Terms") govern your use of the GalliGooo website (galligooo.in), the GalliGooo Customer app, the GalliGooo Vendor app, and the GalliGooo Rider app (collectively, the "Platform"). The Platform is a technology service owned and operated by [GalliGooo India Private Limited] ("GalliGooo," "We," "Us," or "Our"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Platform. These Terms create a binding legal agreement between you and GalliGooo. 1. Description of Services GalliGooo is a hyperlocal technology platform designed to connect end-users ("Customers" or "You") with local street food vendors, restaurants, home bakers, and other merchants ("Vendors")2. We also coordinate a community-powered network of independent delivery partners ("Delivery Partners" or "Riders") to facilitate the delivery of orders3. Our services include: • Hyperlocal Discovery: Allowing Customers to find local Vendors, including "hidden gems" and "untapped inventory" not available on other platforms4. • Order Facilitation: Providing a system for Customers to place orders from Vendors. • Multi-Cart Ordering: A unique feature allowing a customer to order items from multiple different Vendors within a single 3km radius and check out with one delivery fee5. • Payment Processing: Facilitating payments from Customers to Vendors and Delivery Partners via a third-party payment gateway. • Logistics: Assigning delivery requests to Delivery Partners to fulfil orders. IMPORTANT: GalliGooo is a technology facilitator. We do not prepare, package, or sell food. We are not a restaurant, food vendor, or delivery service. The Vendors are independent businesses, and the Delivery Partners are independent contractors. 2. Eligibility and Account • Eligibility: To use the Platform, you must be at least 16 years of age and capable of entering a binding contract under Indian law. • Account Registration: You must create an account to use most features of the Platform. You agree to provide accurate, current, and complete information during registration. • Account Security: You are responsible for all activities that occur under your account. You must keep your password secure and notify us immediately of any unauthorized use. 3. Terms for Customers • Placing Orders: When you place an order, you are making an offer to purchase from the Vendor. An order is only confirmed when it is accepted by the Vendor. • Payment: You agree to pay the full price for all items, plus any applicable taxes, platform fees, and delivery fees6. All payments are processed through our third-party payment gateway. • Food Information: We display information provided by the Vendors (e.g., menu, price, allergy information). We do not guarantee the accuracy, quality, or hygiene of the food provided by Vendors. We require all Vendors to have a valid FSSAI certificate7, but we do not independently verify their compliance. • Cancellations and Refunds: Cancellation and refund policies will be detailed in our "Cancellation and Refund Policy" (a separate document). Refunds are processed based on the policies of the Vendor and GalliGooo. 4. Terms for Vendors These terms apply to all Vendors using the GalliGooo Vendor App and Admin Panel. • Onboarding: To join the Platform, you must provide accurate verification documents, including but not limited to: o Identity & Business Verification (Aadhar/PAN)8. o A valid FSSAI certificate9. This is mandatory. o A clear photo of the Vendor with their stall10. o A valid UPI ID and bank details for payouts11. o A precise shop location pin12. • Responsibilities: You are solely responsible for: o The quality, quantity, and hygiene of all food prepared. o Ensuring all menu and pricing information is accurate. o Complying with all applicable laws, including FSSAI standards. o Securely packaging all orders for delivery. • The Hybrid Commission Model: GalliGooo operates on a flexible, hybrid commission model. 1. Standard Tier: By default, you agree to pay GalliGooo a standard commission (e.g., 15%) on the total value of each order facilitated by the Platform. 2. Subscription Tier: You have the option to subscribe to a fixed-fee plan (e.g., daily, weekly, or monthly). If you are an active subscriber, your commission rate will be reduced to a lower, locked-in rate (e.g., 5%) for the duration of your subscription. o All applicable rates, fees, and subscription costs will be displayed in your Vendor Agreement and within the Vendor App. • Payouts: GalliGooo will collect the total order value from the Customer, deduct the applicable commission, fees, and taxes, and remit the remaining amount to your registered bank account/UPI ID on a pre-defined payout schedule13. 5. Terms for Delivery Partners These terms apply to all Delivery Partners using the GalliGooo Rider App. • Independent Contractor Status: You acknowledge and agree that you are an independent contractor, not an employee, agent, or partner of GalliGooo. You have no authority to bind GalliGooo. • Responsibilities: You agree to: o Provide your services in a professional, safe, and timely manner. o Maintain your own vehicle, insurance, and all necessary permits. o Follow all traffic and safety laws. o Ensure the food package is delivered to the Customer without tampering. • Community-Powered Model: You are part of a community-powered network14. You have the flexibility to choose your own hours and delivery zones. • Payment: You will be paid a fee for each completed delivery, as detailed in your Delivery Partner Agreement and the Rider App. 6. Prohibited Conduct You agree not to: • Use the Platform for any illegal purpose. • Create fake accounts or post fraudulent reviews. • Tamper with, or attempt to decompile or reverse-engineer, any part of the Platform. • Harass, threaten, or harm any User, Vendor, Delivery Partner, or GalliGooo employee. • Scrape or systematically collect data from the Platform. 7. Intellectual Property All content on the Platform, including the GalliGooo logo, brand name, app design, text, and graphics, are the exclusive property of GalliGooo and are protected by copyright and trademark laws. 8. Disclaimers of Warranty The Platform is provided "as is" and "as available" without any warranties, express or implied. GalliGooo does not warrant or guarantee: • The quality, hygiene, or safety of any food provided by Vendors. • That Vendors will be compliant with all FSSAI regulations. • The timeliness or success of any delivery. • That the Platform will be uninterrupted, secure, or error-free. You are solely responsible for any and all interactions with Vendors and Delivery Partners. 9. Limitation of Liability To the fullest extent permitted by law, GalliGooo (including its founders, officers, and employees) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from: (a) Your use of, or inability to use, the Platform. (b) Any food, product, or service provided by a Vendor. (c) The conduct or actions of any Delivery Partner. (d) Any unauthorized access to or use of your account. In no event shall GalliGooo's aggregate liability for all claims related to the services exceed the greater of (i) the total fees paid by you to GalliGooo in the three months preceding the claim, or (ii) One Thousand Indian Rupees (₹1000). 10. Indemnification You agree to indemnify, defend, and hold harmless GalliGooo and its affiliates, officers, directors, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or in any way related to your access to or use of the Platform, or your violation of these Terms. 11. Termination GalliGooo reserves the right to suspend, deactivate, or terminate your account and access to the Platform, at our sole discretion, at any time and without notice or liability to you, for any reason, including your breach of these Terms. 12. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka. 13. Changes to Terms We may revise these Terms from time to time. The most current version will always be posted on our website and in the app. By continuing to use the Platform after changes become effective, you agree to be bound by the revised Terms. 14.
